1. Scope of Services

These terms apply to the BaykAI website at bayk.ai and to the BaykAI platforms: Enterprise Search, AI Infrastructure (GPU cloud and LLM services), LLM Security & Compliance (Guardrails), Digital Identity Infrastructure (KYC/KYB), and Autonomous Swarm Systems.

Where a customer has signed a separate agreement, order form, or statement of work with BaykAI, that document takes precedence over these terms for the services it covers. Everything else is governed by the terms on this page.

2. Accounts & Access

Access to BaykAI platforms is granted to organizations and the users they authorize. You are responsible for keeping credentials, API keys, and access tokens confidential and for all activity that takes place under your organization's accounts.

Please notify us at [email protected] as soon as you become aware of unauthorized access or a compromised credential. We may suspend access where we reasonably believe an account is being misused or presents a security risk.

3. Acceptable Use

You agree to use BaykAI platforms only for lawful purposes and in line with any documentation we provide. This includes not attempting to bypass access controls, guardrail policies, rate limits, or verification workflows, and not using the services to harm others.

You may not resell, sublicense, or expose the services to third parties without our written consent, reverse engineer platform components, or use the services to build a competing product. We may restrict usage that breaches these rules.

4. Customer Data & Confidentiality

Documents, prompts, identity records, telemetry, and other data you submit to BaykAI platforms remain your property. We process that data only to deliver, secure, and support the services you have requested, as described in our Privacy Policy.

Both parties agree to keep non-public information shared in the course of the relationship confidential and to use it only for the purpose it was shared. This obligation continues after the services end, subject to legal requirements.

5. Security & Compliance Responsibilities

BaykAI maintains technical and organizational measures that are appropriate to the services, including access control, encryption in transit, logging, and audit trails. We design our platforms for regulated environments and support customer audit requirements where agreed.

You remain responsible for configuring roles, permissions, guardrail policies, and verification rules for your own use, for the lawfulness of the data you process, and for meeting the regulatory obligations that apply to your organization.

6. Fees & Payment

Fees for BaykAI platforms are set out in the applicable order form, proposal, or pricing schedule. Unless stated otherwise, invoices are payable within 30 days and are quoted exclusive of applicable taxes.

Usage-based services such as GPU cloud capacity, inference, and verification volumes are billed according to measured consumption. Overdue payments may result in suspended access after notice, and reasonable collection costs may be charged.

7. Intellectual Property

BaykAI and its licensors own all rights in the platforms, software, models, documentation, and related materials, including improvements developed while providing the services. No rights are transferred to you except the limited right to use the services.

You retain ownership of your data, content, and any custom models trained on your data where agreed in writing. If you provide feedback about our products, we may use it to improve the services without obligation to you.

8. Availability & Support

We work to keep BaykAI platforms available and performant, and we publish or agree service levels for production deployments where applicable. Planned maintenance is communicated in advance whenever reasonably possible.

Support is provided through the channels defined in your agreement or via [email protected]. We may update features, interfaces, and APIs over time and will give reasonable notice of changes that materially affect your use of the services.

9. Liability

To the extent permitted by law, BaykAI is not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data, and our total liability is limited to the fees paid for the affected service in the preceding 12 months.

Nothing in these terms limits liability that cannot be limited by applicable law. The services are provided on the basis described in your agreement, and we do not guarantee uninterrupted or error-free operation beyond any agreed service levels.

10. Changes & Governing Terms

We may update these terms from time to time to reflect changes in our services or legal requirements. The current version is always published at bayk.ai, and material changes will be communicated to active customers in advance.
